Shortfall definition

Shortfall means, with respect to a Distribution Date, the excess (if any), of the sum of the amounts payable pursuant to clauses (v) through (viii) of Section 7.05 over Available Monies for such Distribution Date minus the amounts payable pursuant to clauses (i) through (iv) of Section 7.05 on such Distribution Date.
Shortfall means the ACP emissions minus the ACP limit when the ACP emissions were greater than the ACP limit during a specified compliance period, expressed to the nearest pound of VOC. Shortfall does not include emissions occurring prior to the date that the ACP agreement approving an ACP is signed by the board.

  • On each Determination Date, the Managing Member shall determine in consultation with the Administrator the amount, if any, by which the amounts payable pursuant to clauses (1) through (3) of the Priority of Payments (the “Senior Amounts”) exceed the Available Amounts (such excess a “Senior Shortfall Amount”) and shall notify the Custodian of any Senior Shortfall Amount.
