Sheep Xxxxxx agrees to indemnify and hold harmless Solar Site Manager from all claims arising from any injury (or death) to Sheep Xxxxxx’x sheep, any injury (or death) to persons on the Solar Site directly caused by Sheep Xxxxxx’x sheep, or any damage to Sheep Xxxxxx’x sheep infrastructure on the Solar Site, unless such injury, death, or damage is the result of the negligence or willful misconduct of Solar Site Manager or Solar Site Manager’s employees, subcontractors, and agents.
Sheep Xxxxxx authorizes Solar Site Manager to subcontract the performance of its fencing, signage, and security obligations or other maintenance services described under this Agreement.
This Agreement constitutes the entire agreement between Sheep Xxxxxx and Solar Site Manager and supersedes any prior oral or written agreement with respect to the subject matter of this Agreement.
Solar Site Manager agrees to indemnify and hold harmless Sheep Xxxxxx from all costs associated with maintaining, repairing, or cleaning solar panels and Solar Site equipment in accordance with Section 6(h).
