Shareholder Interest definition

Shareholder Interest means a limited liability company interest (as such term is defined in the Act) of a Shareholder, including the right to receive Share Distributions and other distributions from the Company, together with all other rights, benefits and privileges enjoyed by the Shareholder (under the Act, the Organizational Certificate, this Agreement or otherwise) in its capacity as a Shareholder, including the right to vote, consent and approve, and all obligations, duties and liabilities imposed on the Shareholder (under the Act, the Organizational Certificate, this Agreement or otherwise) in its capacity as a Shareholder.
Shareholder Interest means a Shareholder’s Shares together with a proportionate share of its Claims, if any;
Shareholder Interest means, in respect of the Pledgor and at any time until the expiry of the Security Period, any and all of the Shares of the Account Holder held by the Pledgor together with, in relation to the Shares, all dividends, interest and other distributions thereon (fruits et produits) and all shares, other shareholder interest (instruments financiers), other securities (valeurs mobilières) (and the dividends, interest and other distributions (fruits et produits) thereon), rights, moneys or property, whether present or future, actual or contingent, from time to time credited to the relevant Pledged Account in accordance with the terms hereof and Article L. 431-4 of the French Monetary and Financial Code (Code monétaire et financier) (as modified by the ordonnance no. 2005-171 dated 24 February 2005), provided that the dividends paid in cash (dividendes en numéraire), interest and other distributions thereon (fruits et produits) relating to the Shares or other above mentioned shareholder interest (instruments financiers) shall only be credited to the Bank Account upon the occurrence of an Enforcement Event in accordance with Clause 8.1.

  • If the Requisite Approvals (including approval of the Existing Shareholders) are not obtained and the implementation of the Recapitalization Transaction is pursued pursuant to the CCAA Proceedings, the Common Shareholder Interest will be allocated equally to the Secured Lenders and the Unsecured Debentureholders, as separate classes, and the Existing Shareholders will not receive any recovery.

  • In the event that the Requisite Approvals are not obtained and the Court does not approve the Recapitalization Transaction, then the Recapitalization Transaction will be pursued pursuant to the CCAA Proceedings, provided that if the CCAA Proceedings are necessary, the Common Shareholder Interest shall be allocated equally to the Secured Lenders and the Unsecured Debentureholders, as separate classes, and the Existing Shareholders will not receive any recovery.

  • During the notice period, Shareholder (or Shareholder's representative) may not sell, transfer, exchange, encumber, or otherwise alienate the Shareholder Interest.


More Definitions of Shareholder Interest

Shareholder Interest of any Investor means the shareholder interest of such Investor in Borrower under the Subscription Agreements; provided, however, for the purpose of this Credit Agreement, the parties hereto agree that an Investor’s Shareholder Interest shall include, without limitation, such Investor’s Capital Commitment and Shares (as defined in the Subscription Agreements).
