The Company has not issued any securities since its most recently filed periodic report under the Exchange Act, other than pursuant to the exercise of employee stock options under the Company’s stock option plans, the issuance of securities to employees pursuant to the Company’s employee stock purchase plans and pursuant to the conversion and/or exercise of Share Equivalents outstanding as of the date of the most recently filed periodic report under the Exchange Act.
Subject to this Section 4(h), nothing in this Agreement shall prevent the Company or any Subsidiary from offering, selling, issuing, contracting to sell, contracting to issue or otherwise disposing of, directly or indirectly, any Class B Shares or Class B Share Equivalents.
To the Company’s knowledge, no officer, director or any beneficial owner of 10% or more of the Company’s Class A Ordinary Shares or Class A Ordinary Share Equivalents (as defined in the Securities Purchase Agreement) has any direct or indirect affiliation or association with any Participating Member in the Offering.
The Company will advise the Placement Agent and its legal counsel, H▇▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ & Li LLC if it learns that any officer, director or owner of 10% or more of the Company’s outstanding Class A Ordinary Shares or Class A Ordinary Share Equivalents is or becomes an affiliate or associated person of a Participating Member.
