Once Company has received the monthly Net Settlement Invoice, Company may dispute charges of the Weekly Invoices covered by such Net Settlement Invoice (the "Monthly Settlement Process").
Each Party shall be liable and responsible to the other Parties only for direct damages resulting from: (i) the negligent acts or omissions or Willful Actions of such Party and/or its directors, officers, owners, employees, affiliates and Committee members of such Party; or (ii) the material breach by such Party of this Agreement (including, without limitation, the Generation Dispatch Procedures, the Transmission Dispatch Procedures, the Fuel Supply Dispatch Procedures or the Settlement Process).
Any Employee if not satisfied with the review conducted by their manager or team leader has a right of appeal as provided for in the Grievance Settlement Process clauses of this Agreement.
A final settlement will be made within *** upon termination or expiration of the Agreement to capture any late reporting of the components used in the Monthly Settlement Process.
The Settlement Process Committee will not have the authority to authorize or approve or take any action with regard to any matter unless the same has been approved by each member of the Settlement Process Committee.
