Settlement Disruption Event definition

Settlement Disruption Event means each of the following events, as determined by the Calculation Agent in its sole discretion acting in good faith and in a commercially reasonable manner:

Settlement Disruption Event means, in the opinion of the Calculation Agent, an event beyond the control of the Issuer as a result of which the Issuer cannot make delivery of the Delivery Shares.

Settlement Disruption Event means an event beyond the control of the Issuer as a result of which the Issuer is unable to procure payment electronically through CCASS to the relevant bank account designated by the relevant Warrantholder (“Designated Bank Account”);

Examples of Settlement Disruption Event in a sentence

• Where an event or circumstance that would otherwise constitute or give rise to a Termination Event or a Settlement Disruption Event also constitutes or gives rise to an Abandonment of Scheme, it is to be treated as an Abandonment of Scheme and not as a Termination Event or a Settlement Disruption Event.

• If a Settlement Disruption Event is continuing on the first Business Day following the Settlement Disruption Longstop Date, an Illegality will be deemed to have occurred on such Business Day6.

• Subject to paragraph (a) above, where an event or circumstance that would otherwise constitute or give rise to a Settlement Disruption Event, also constitutes or gives rise to an Event of Default, a Potential Event of Default or a Termination Event, except as contemplated by clause 13.2(c) (Events of Default) it is to be treated as a Settlement Disruption Event and not as an Event of Default, a Potential Event of Default or a Termination Event.

More Definitions of Settlement Disruption Event

Settlement Disruption Event means an event beyond the control of the Issuer as a result of which the Issuer is unable to procure payment of the Cash Settlement Amount electronically through CCASS to the Designated Bank Account;

Settlement Disruption Event means an event beyond the control of the Issuer as a result of which the Issuer cannot make delivery of the relevant asset(s) as specified in the relevant Final Terms on the Redemption Date.

Settlement Disruption Event means, in the opinion of the Calculation Agent, an event beyond the control of the Issuer as a result of which the Issuer cannot make delivery of the Relevant Asset(s) using the method specified in the applicable Final Terms.

Settlement Disruption Event means an event beyond the control of the Issuer and the relevant Noteholder as a result of which the Clearance System cannot clear transfers of the Securities comprising the Securities Entitlement of such Noteholder.

Settlement Disruption Event means, in the opinion of the Calculation Agent or, if the proviso in the second paragraph of Conditions 2(b) applies, the Guarantor, an event beyond the control of the Issuer or the Guarantor, as the case may be, as a result of which the Issuer or the Guarantor, as the case may be, cannot make delivery of the Relevant Asset(s) using the method specified in the applicable Final Terms.

Settlement Disruption Event means an event beyond the control of the Issuer as a result of which the relevant Clearing System cannot clear the transfer of securities comprised in the relevant Index.
