Services Requirements definition

Services Requirements means the requirements of the Authority or any other Contracting Body (as appropriate) for the Services from time to time;
Services Requirements means the description of the Services to be supplied under this Agreement as set out in Part Part 1 of Schedule SCHEDULE 2: (Services Requirements and Supplier Solution), including, where appropriate, the Key Personnel, the Premises and the Quality Standards;
Services Requirements means the Contracting Body’s requirements in respect of the Services as set out in the Order Form Service Restoration means an action taken by or on behalf of the Supplier to return a Service and/or Service Element to the Contracting Body and End Users after repair and recovery from an Incident. This action must fully repair the root cause of an Incident and the Service and/or Service Element must be able to perform in accordance with its specifications and this Contract; Sites means any premises from which the Services are provided or from which the Supplier manages, organises or otherwise directs the provision or the use of the Services or where any part of the Supplier System is situated or where any physical interface with the Contracting Body System takes place; Software means the Supplier Software and Contracting Body Software; Staff means all persons employed by the Supplier and/or any Sub-Contractor to perform its obligations under this Contract together with the Supplier's and/or any Sub-Contractor's servants, consultants, agents, suppliers and Sub-Contractors used in the performance of its obligations under this Contract (or any Sub-Contract); Standards means the British or international standards, Contracting Body's internal policies and procedures, Government codes of practice and guidance together with any other specified policies or procedures; Sub-Contract means any contract or agreement or proposed contract or agreement between the Supplier and any third party whereby that third party agrees to provide to the Supplier the Services or any part thereof or facilities or services necessary for the provision of the Services or any part thereof necessary for the management, direction or control of the Services or any part thereof; Sub-Contractor means any person with whom the Supplier enters into a Sub-Contract or its servants or agents as set out in Framework Schedule 3 (Sub-Contractors); Supplier means the person, firm or company with whom the Contracting Body enters into the Contract as identified in the Order Form; Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential or which ought reasonably to be considered to be confidential (whether or not it is marked as confid...

  • If the Contractor suffers delay and/or incurs Cost as a result of a failure by the Procuring Entity to give any such right, the Contractor shall be entitled on request to an adjustment in the Opera Services Requirements Remuneration sufficient to put it in the same position it would have been in had the Procuring Entity honored its obligations under this Sub-Clause.
