Service Recipient Data definition

Service Recipient Data means all the data owned and provided solely by Service Recipient, or created by Service Provider solely on behalf, or for the benefit, of Service Recipient, that is used by Service Provider solely in relation to the provision of the Services, including employee information, customer information, product details and pricing information.
Service Recipient Data has the meaning provided in Section 11.1.1.
Service Recipient Data means all data and information that is submitted, directly or indirectly, to the Service Provider by Service Recipient or obtained or learned by the Service Provider in connection with the Services, including information relating to Service Recipient, its Affiliates and its or their customers, hotels or hotel operators, technology, operations, facilities, consumer markets, marketing and branding plans and strategies, logos, graphics, financial information and projections, products, capacities, systems, procedures, security practices, research, development, business affairs, ideas, concepts, innovations, inventions, designs, business methodologies, improvements, trade secrets, copyrightable or patentable subject matter, trademarks under development, and other proprietary information.

  • Except as provided below, all data and information disclosed between Service Provider and Service Recipient pursuant to this Agreement, including information relating to or received from third parties and any Service Recipient Data, are deemed Confidential Information (as defined in the Contribution and Distribution Agreement, subject, for the avoidance of doubt, to the limitations set forth in such definition).

Service Recipient Data means all (x) data and information legally or beneficially owned by any Service Recipient (or their Affiliates) prior to the execution of this Agreement, whether in the possession of any Service Provider, any Service Recipient or any of their respective Affiliates, and (y) data, information and reports comprising the results of data processing and other operations undertaken by any Service Provider in providing the Services, but excluding (i) system configuration, monitoring, performance and other technical and operational data and information relating to any Service Provider Infrastructure (including any such data and information generated in providing the Services) and (ii) data and information (other than Service Recipient Data) owned or held by any Service Provider (or their Affiliates) prior to the performance of the applicable Services for any Service Recipient.
Service Recipient Data means all (x) data and information legally or beneficially owned by any Service Recipient (or their Affiliates) prior to the execution of this Agreement (after giving effect to the transfer of assets in the Separation), whether in the possession of any Service Provider, any Service Recipient or any of their respective Affiliates, and (y) data, information and reports comprising the results of data processing and other operations undertaken by any Service Provider in providing the Services, but excluding (i) system configuration, monitoring, performance and other technical and operational data and information relating to any Service Provider Infrastructure (including any such data and information generated in providing the Services) and (ii) data and information (other than Service Recipient Data) owned or held by any Service Provider (or their Affiliates) prior to the performance of the applicable Services for any Service Recipient.
Service Recipient Data or "Data" means any data of the Service Recipient, including personal information as defined in the PAI Act, and any other applicable legislation in the jurisdiction where the Services are to be provided, supplied, stored, collected, collated, accessed, retained or processed by the Provider, irrespective of the media or form and includes: (a) all data that is in the possession of Service Recipient and/or its Affiliates, and all data concerning or indexing such data (regardless of whether or not owned by Service Recipient and/or its Affiliates or generated or compiled by Service Recipient and/or its Affiliates); and (b) all other records, data, files, input materials, reports, forms and other such items that may be received, computed, developed, used or stored by Provider or any of its Employees, contractors (including Subcontractors) or agents from, for or on behalf of Service Recipient and/or any of its Affiliates, or in connection with the Services.

Related to Service Recipient Data

  • Service Recipient means, with respect to a Participant holding a given Award, the member of the Company Group by which the original recipient of such Award is, or following a Termination was most recently, principally employed or to which such original recipient provides, or following a Termination was most recently providing, services, as applicable.

  • Client Data means personal data of data subjects, such as your employees, associates or partners, that is provided to S&P Global Ratings during the provision by S&P Global Ratings of the Services to you, such as name, job title, name of employer, office email address, office physical address, internet protocol address, office telephone number and language selection (and excludes special categories of personal data);
