Series Documents definition

Series Documents means the Transfer and Servicing Agreement, the Indenture Supplement, the Master Indenture, the Receivables Purchase Agreement, the Participation Agreement, the Fee Letter, the Operating Agreement, the Notes and this Note Purchase Agreement.

Series Documents means in relation to any Series, the Supplemental Trust Deed, the Supplemental Purchase Agreement and any other related document in connection with the foregoing and relating to such Series;

Series Documents means the Pooling and Servicing Agreement, the Supplement and this Agreement.

Examples of Series Documents in a sentence

• In the case of such a substitution the Trustee may agree, without the consent of the Noteholders or Couponholders, to a change of the law governing the Notes, the Coupons, the Talons and/or the Trust Deed and/or the Programme Documents or Specific Series Documents, as applicable, provided that such change would not in the opinion of the Trustee be materially prejudicial to the interests of the Noteholders.

• No action, suit, proceeding or investigation by or before any Governmental Authority shall have been instituted to restrain or prohibit the consummation of, or to invalidate, the transactions contemplated by the Series Documents and the documents related thereto in any material respect.

• All Governmental Actions of all Governmental Authorities required with respect to the transactions contemplated by the Series Documents and the other documents related thereto shall have been obtained or made.

• In doing so, the appointed agent shall apply the provisions of the Conditions and/or the relevant Series Document(s), with any necessary consequential amendments, to the extent that, in its opinion, it can do so, and in all other respects it shall do so in such manner as it shall deem fair and reasonable in the circumstances.

• With effect from the effective date of any such adjustment, the Issuer and the Series Parties shall take into account the relevant adjustment(s) so notified to it when making any determination and/or calculation it is required to make under the Conditions and the terms of the relevant Series Documents, as appropriate, and the Conditions of the Notes and the terms of the Series Documents shall be construed accordingly.

More Definitions of Series Documents

Series Documents means the Indenture, the Indenture Supplement, the Pooling and Servicing Agreement, the 1995 Pooling and Servicing Agreement (prior to the 1995 Trust Termination Date), the Collateral Supplement (prior to the 1995 Trust Termination Date), the Master Revolving Credit Agreement, the Purchase Agreement, the 1995 Purchase Agreement (prior to the 1995 Trust Termination Date) and this Agreement.

Series Documents means the Trust Deed, the Agency Agreement, the Custody Agreement, the Charged Agreement and the Placing Agreement in relation to the Series. References to the “Master Conditions”, the “Master Trust Terms”, the “Master Agency Terms”, the “Master Custody Terms”, the “Master Placing Terms” and the “Master Charged Agreement Terms” (each a “Master Terms Document”) in this Constituting Instrument are to the relevant master document specified as such below and each signed for the purpose of identification by Barclays Bank PLC.

Series Documents means the Series 2011-2 Indenture, the Master Collateral Agency Agreement (to the extent relating to Group VIII Collateral), this Agreement, the Master Lease and any other Related Document.

Series Documents means the Trust Deed, the Agency Agreement, the Custody Agreement, the Placing Agreement, the Charged Assets Sale Terms and the Portfolio Management Agreement, as applicable, in relation to the Series.

Series Documents means the Fee Letters among RCFC, and one or more of the Managing Agents, the Purchasers and/or the Administrative Agent, the Series 2010-3 Indenture, the Master Collateral Agency Agreement, this Agreement, the Master Lease and any other Related Document.

Series Documents means, in relation to a Series of Loan Notes, this Deed, the relevant Loan Note Supplement, the Loan Note Certificates of such Series, any Supplemental Security Document and any other relevant document creating or evidencing the rights and obligations of the Loan Note Issuer specific to such Series and any other documents entered into in connection with such Series.

Series Documents means, in respect of the Notes of a Series, the Offshore Series Documents, the PRC Series Documents, the Supplemental Master Definitions Schedule in respect of such Series and any other agreements and documents specified as such in such Supplemental Master Definitions Schedule.
