Series C Note definition

Series C Note shall have the meaning provided in Section 1.01.
Series C Note shall have the meaning set forth in Section 6.1(u).
Series C Note means the promissory note given by the Borrower pursuant to Section 5.1 of this Loan Agreement substantially in the form of Exhibit C attached hereto.

Series C Note means any Note, in substantially the form of Exhibit A-3 hereto, issued as part of a Series of Notes that is designated as “Series C”, which may be further differentiated by a numeric designation consisting of the year in which such Series is issued and consecutive numbers in chronological order of issuance to differentiate the Notes of each such Series of Series C Notes from the Notes of any other Series of Series C Notes, provided that two or more Series of Series C Notes issued at the same time may be given additional alphanumeric designations to differentiate such Series among themselves.
Series C Note means each 8.21% Senior Note, Series C, due August 1, 2011 issued under and pursuant to this Agreement, including any Note issued in substitution therefor or replacement thereof pursuant to SECTION 9.1, SECTION 9.2, or SECTION 9.3.
Series C Note is defined in Section 1.1.
Series C Note and "Series C Notes" as used herein shall include, as applicable, each Series A Note, Series B Note or Series C Note delivered pursuant to any provision of this Agreement and each Series A Note, Series B Note or Series C Note, as applicable, delivered in substitution or exchange therefore pursuant to any such provision.
Series C Note means any one of such promissory notes issued hereunder.
Series C Note as used herein shall include any and all of the 6.41% Series C Notes delivered pursuant to this Series C Terms Agreement and any Series C Notes issued in substitution therefor pursuant to Section 13 of the Agreement.
Series C Note means one of the series of up to $25,000,000 of principal amount (less the aggregate principal amount of all other series of Class A-1 Notes issued) of Class A-1 Notes issued in the initial principal amount of $10,000 or $25,000 bearing interest at the variable rate designated by the Company for the Series C Notes on the Rate Schedule effective on the date of issuance of the Note and having a Maturity Date of seventy-two (72) months from the date of issuance. "Tangible Adjusted Net Worth" means the Adjusted Net Worth of the Company less the Company's intangible assets, if any. "Trustee" means the Person or Persons elected as the "Trustee" pursuant to the terms of this Agreement or a successor thereto once the latter shall have become such pursuant to the applicable provisions of this Agreement. Section B. Acts of Holders 1. Any request, demand, authorization, direction, notice, consent, waiver or other action provided by this Agreement to be given or taken by Holders may be embodied in and evidenced by one or more substantially concurrent instruments of substantially similar tenor signed by such Holders in person or by an agent or attorney duly appointed in writing; and, except as herein otherwise expressly provided, such action shall become effective when such instrument or instruments are delivered to the Trustee, and, where it is herein expressly required, to the Company. Such instrument or instruments (and the action embodied therein and evidenced thereby) are herein sometimes referred to as the "Act" of the Holders signing such instrument or instruments. 2. The ownership of the Class A-1 Notes shall be conclusively proven by the books and records of the Company. 3. Any request, demand, authorization, direction, notice, consent, waiver or other action by the Holder of any Class A-1 Note shall bind every future Holder of the same Class A-1 Note and the Holder of every Class A-1 Note issued upon the transfer thereof or in exchange therefor or in lieu thereof, in respect of anything done or suffered to be done by the Trustee or the Company in reliance thereon, whether or not notation of such action is made upon such Class A-1 Note.
