Series B Note definition

Series B Note means the [Taxable][Tax-Exempt] Tax Increment Revenue Note (1111 Olive Redevelopment Project), Series 20 -B, issued pursuant to the Note Ordinance in an aggregate amount not to exceed $2,350,000 plus Issuance Costs, less the aggregate outstanding principal amount of the Series A Notes, in substantially the form set forth in Exhibit B, attached hereto and incorporated herein by reference.
Series B Note means the [Taxable][Tax-Exempt] Tax Increment Revenue Note
Series B Note and “Series B Notes” as used herein shall include each Series B Note delivered pursuant to any provision of this Agreement and each Series B Note delivered in substitution or exchange for any such Series B Note pursuant to any such provision.”

  • The Netting provided in this Section 3 shall be permitted without regard to fair market value of the Series B Note or the Investor Note at any given time of determination and without giving effect to equitable subordination or any other condition effecting the rank or priority of any Obligations under any Underlying Agreement.

More Definitions of Series B Note

Series B Note means any of, and "Series B Notes" mean all, the respective Series B Notes of the Borrower, substantially in the form attached hereto as Exhibit A-2, to be issued to evidence the indebtedness of the Borrower from time to time outstanding in respect of the B Advances, as any such Series B Note may be replaced, amended, supplemented or otherwise modified from time to time.
Series B Note means any Note, in substantially the form of Exhibit A-2 hereto, issued as part of a Series of Notes that is designated as “Series B”, which may be further differentiated by a numeric designation consisting of the year in which such Series is issued and consecutive numbers in chronological order of issuance to differentiate the Notes of each such Series of Series B Notes from the Notes of any other Series of Series B Notes, provided that two or more Series of Series B Notes issued at the same time may be given additional alphanumeric designations to differentiate such Series among themselves.
Series B Note is defined in Section 1.2.
Series B Note mean one of the Notes, Series A Notes and Series B Notes, respectively. Certain capitalized and other terms used in this Agreement are defined in Schedule B; references to a "Schedule" or an "Exhibit" are, unless otherwise specified, to a Schedule or an Exhibit attached to this Agreement.
Series B Note means a promissory note substantially in the form of Exhibit B hereto designated on its face as a "Series B Note", duly completed and executed by Borrower.
Series B Note means the promissory note given by the Borrower pursuant to Section 5.1 of this Loan Agreement, substantially in the form of Exhibit B attached hereto.
Series B Note shall have the meaning provided in Section 1.01.
