Series A Preferred Return definition

Series A Preferred Return shall have the meaning provided in Section 5(a).
Series A Preferred Return means, for each Series A Redeemable Preferred Unit, a cumulative, non-compounded rate of return equal to six percent (6%) per annum with respect to the Stated Value. For any partial period, such return shall be calculated ratably on the basis of a 360-day year consisting of twelve 30-day months.
Series A Preferred Return of an Investor means an amount such that, as of the date of any distribution, the total amount paid with respect to the Shares owned by such Investor, including all amounts paid to any previous owners of such Shares, yields a compounded return of seven percent (7%) with respect to the Unreturned Investment of such Shares since the date such Shares were originally issued by the Company.

Examples of Series A Preferred Return in a sentence

  • In the case of an Investor who purchased Series A Preferred Stock directly from the Company, “unreturned investment” means the Investor’s original purchase price for the Series A Preferred Stock reduced by any distributions the Investor has received in the nature of a return of capital (as opposed to distributions of the Series A Preferred Return).

  • In the case of a person who acquired Series A Preferred Stock from someone other than the Company, “unreturned investment” means the purchase price of the Series A Preferred Stock paid to the Company by the original purchaser, reduced by any distributions any holder of the Series A Preferred Stock has received in the nature of a return of capital (as opposed to distributions of the Series A Preferred Return).

  • If the sale occurs within one (1) year following the date the Investor acquired the Shares being sold, the purchase price shall be reduced by an amount sufficient to reduce the Investor’s annualized Series A Preferred Return through the date of the repurchase from seven percent (7%) to five percent (5%) to the extent the Investor has received distributions of the Series A Preferred Return.

  • If the sale occurs more than one (1) year but less than two (2) years from date of acquisition, the annualized Series A Preferred Return will be reduced from seven percent (7%) to six percent (6%).

  • Holders of Series A Preferred Units will be entitled to receive the Series A Preferred Return, which will be paid to Holders of Series A Preferred Units as part of the Series A Preferred Priority Return and before any distributions are made to Holders of OP Units pursuant to Section 5.1(4).


More Definitions of Series A Preferred Return

Series A Preferred Return means the amount of distributions to which Holders of Series A Preferred Units would be entitled to receive if the Series A Preferred Units were treated as part of a single class of units with the OP Units and the Series A Preferred Units shared in distributions with the OP Units pursuant to Section 5.1(4) proportionately based on the total number of outstanding Series A Preferred Units and OP Units.
Series A Preferred Return means, with respect to each Series A Preferred Unit as of any particular date, the amount of distributions to which a holder of such Series A Preferred Unit would be entitled to receive as of such date if the Series A Preferred Units were treated as part of a single class of units with the Common Units and the Series A Preferred Units shared in distributions with the Common Units pursuant to Section 5.2(a)(ii) and Section 5.6(b) proportionately based on the total number of outstanding Series A Preferred Units and Common Units; provided, however for this purpose each Series A Preferred Units shall be treated as 1.22423 Units.
Series A Preferred Return shall have the meaning provided in Section 13.04(a).

Series A Preferred Return means an annual non-compounded amount with respect to each outstanding Series A Preferred Unit equal to the product of (x) the Series A Percentage, and (y) the Series A Unreturned Capital Value for each such Unit, which shall accrue as provided herein to the extent not paid.
