This Series A2 Note is one of the authorized notes identified in the title hereto and issued in the aggregate Maximum Principal Balance of One Hundred Million Dollars ($100,000,000) pursuant to the Indenture and the Series A2 Supplement, provided that the aggregate Maximum Principal Balance of the Series A2 Notes may be increased up to One Hundred Fifty Million Dollars ($150,000,000) as provided in the Indenture and the Series A2 Supplement.
Following the Closing, neither the Company nor any Company Subsidiary will have any Liability with respect to the Senior Secured Term Loan, the Amended and Restated ABL Facility and the Series A-2 Notes or any other Indebtedness.
The waiver and release are part of the consideration for issuance of the Series A-2 Notes.
In case any provision in this Supplemental Indenture or in the Series A-2 Notes shall be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
