Senior Indebtedness Representative definition

Senior Indebtedness Representative means (a) initially, BNP Paribas, as administrative agent for the Senior Revolving Lenders under the Senior Revolving Credit Agreement or (b) such other Person selected by the Majority Lenders (as such term is defined in the Senior Revolving Credit Agreement) to replace BNP Paribas or the then Senior Indebtedness Representative.

Senior Indebtedness Representative means any administrative agent or trustee for, or other similar representative of, the holders of any such Senior Indebtedness.

Senior Indebtedness Representative means (a) initially, Bank One, NA, and its successors-in-interest, in its capacity as Global Administrative Agent or (b) such other Person selected by the holders of a majority of the Senior Indebtedness to replace the then Senior Indebtedness Representative.

More Definitions of Senior Indebtedness Representative

Senior Indebtedness Representative has the meaning set forth in the Recitals hereto.

Senior Indebtedness Representative means (1) in the case of Senior Indebtedness held by one Person, such Person, (2) in the case of Senior Indebtedness issued under an indenture, the trustee under such indenture and (3) in the case of Senior Indebtedness issued pursuant to an instrument or agreement (other than an indenture) that authorizes an agent or other representative to represent the interests of a group of creditors under such instrument or agreement, such agent or representative; provided, however, in the case of (2) or (3), such trustee, agent or representative is acting pursuant to due authority pursuant to the related indenture, instrument or agreement.

Senior Indebtedness Representative means (a) for Senior Indebtedness outstanding under the Bank Credit Agreement, KeyBank, N.A. or its successors or assigns thereunder, so long as the Trustee shall have been notified in writing of such successors or assigns, (b) for any issue of Designated Senior Indebtedness whose holders have appointed an agent, trustee or other representative to act on their behalf, such agent, trustee or representative, and (c) for any other issue of Designated Senior Indebtedness, any holder (or holders acting jointly) of more than 50% of the aggregate outstanding principal amount thereof.

Senior Indebtedness Representative means, as of a particular date, ------ ------------ -------------- the Person holding the largest outstanding principal amount of Senior Indebtedness as of such date.
