Seller Releasees definition

Seller Releasees shall have the meaning set forth in Section 6.25(e).

Seller Releasees should be defined as the Seller, its parent, subsidiaries and affiliates and their respective members, managers, directors, shareholders, partners, officers, employees, agents, representatives and consultants, including without limitation the Manager.

• Purchaser, on behalf of itself and the other Purchaser Releasors, expressly waives, to the full extent that it may lawfully waive, all rights pertaining to a general release of claims (including Section 1542 of the California Civil Code or any provision of other state or federal Law), and affirms that it is releasing all known or unknown claims that it has or may have against any of the Seller Releasees.

• Except as set forth in Section 6(e)(iii) and except for the Nonparty Affiliates in respect of Section 9(q)(ii), the Seller Releasees in respect of Section 9(q)(iii) and the Buyer Releasees in respect of Section 9(q)(iv), this Agreement shall not confer any rights or remedies upon any Person other than the Parties and their respective successors and permitted assigns.

• Except for the enforcement of this Stock Purchase Agreement, the Buyer Releasors hereby covenant that they will not, based on any Seller Released Claims, xxx or bring any claim or action against any Seller Releasees.
