Seller Contact as defined in Section 12.2(a). “Seller Contract” — any Contract related primarily to or used in the operation of the Business (a) under which any Seller or Purchased Subsidiary has or may acquire any rights or benefits; (b) under which any Seller or Purchased Subsidiary has or may become subject to any obligation or liability; or (c) by which any Seller or Purchased Subsidiary or any of the Assets may become bound. The term Seller Contract includes any Customer Performance Assurance. “Seller Disclosure Letter” — the disclosure letter delivered by Sellers to Buyer concurrently with the execution and delivery of this Agreement, as amended pursuant to the terms of this Agreement.
