Selected Dealer definition

Selected Dealer shall have the same meaning in this Agreement as in the Distribution Agreement. As principal, we offer to sell shares to you, as a Selected Dealer, upon the following terms and conditions:

Selected Dealer means a member in good standing of the National Association of Securities Dealers, Inc. which has been selected by the Dealer Manager to offer and sell the Depositary Units.

Selected Dealer shall have the meaning ascribed to such term in Section 6.1.

• Notwithstanding anything to the contrary contained herein, if any Underwriter, Selected Dealer or Controlling Person shall assume the defense of such action as provided above, the Company shall have the right to approve the terms of any settlement of such action which approval shall not be unreasonably withheld.

• The Placement Agent and Selected Dealer shall be third party beneficiaries of the representations and warranties of the Company in Section 3.1 and the representations and warranties of the Purchasers in Section 3.2. This Agreement is intended for the benefit of the parties hereto and their respective successors and permitted assigns and is not for the benefit of, nor may any provision hereof be enforced by, any other Person, except as otherwise set forth in Section 4.10 and this Section 5.9.

More Definitions of Selected Dealer

Selected Dealer have the meanings set forth in Section 2.3.

Selected Dealer as used herein shall include the Managing Dealer and other selected dealers as part of the selling group. All Selected Dealers shall be bound by this Agreement. However, for purposes of communications and directives, the Escrow Agent need only accept instructions from the Managing Dealer, as the representative of the Selected Dealers.

Selected Dealer means the Managing Dealer and the other selected dealers that form a part of the selling group for the Offering.

Selected Dealer shall have the same meaning in this Agreement as in the Distribution Agreement. As principal, we offer to sell shares to you, as a Selected Dealer, upon the following terms and conditions: 1. In all sales of Shares to the public you shall act as dealer for your own account, and in no transaction shall you have any authority to act as agent for the Fund, for us or for any Selected Dealer. 2. Orders received from you will be accepted through us or on our behalf only at the net asset value applicable to each order, as set forth in the current Prospectus. The procedure relating to the handling of orders shall be subject to instructions which we or the Fund shall forward from time to time to you. All orders are subject to acceptance or rejection by the Distributor or the Fund in the sole discretion of either.

Selected Dealer means a person or entity which is a member of the NASDR and which is selected by the Placement Agent pursuant to this Placement Agent Agreement to assist the Placement Agent in the Offering.

Selected Dealer shall include the Underwriters and other Selected Dealers as part of its selling group. All Selected Dealers shall be bound by this Agreement.

Selected Dealer as used herein shall include the Underwriter and other co-underwriters and/or other Selected Dealers as part of the Selling Group. All Selected Dealers shall be bound by this Agreement. However, for purposes of communications and directives, the Escrow Agent need only accept those signed by Andrew Garrett, Inc.
