None of any Agent or any Lender shall be under any obligation to marshal any assets in favor of any Loan Party, Security Provider or any other Person or against or in payment of any or all of the Obligations.
Each of the delivery of a Borrowing Request and the acceptance by the Borrower of the proceeds of such Credit Extension shall constitute a representation and warranty by the Borrower, each other Loan Party and each Security Provider that on the date of such Credit Extension (both immediately before and after giving effect to such Credit Extension and the application of the proceeds thereof) the conditions contained in this Section 4.02 have been satisfied.

Each Loan Party agrees that it will not claim that any Lender has rendered advisory services of any nature or respect, or owes a fiduciary or similar duty to such Loan Party or any Security Provider, in connection with such transaction or the process leading thereto.
No Loan Party or Security Provider will enter into any agreement or arrangement for the sharing of any Earnings and Insurance Collateral (other than with respect to pooling arrangements in the ordinary course of business).
