Securities Holders. Agreement” means the Securities Holders’ Agreement dated February 6, 2018 entered into by and among the Founder, the Issuer, Ningbo Meishan Bonded Port Area Maikaiwen Equity Investment Management Partnership (LP) (宁波梅山保税港区麦凯芠股权投资管理合伙企业(有限合伙)), Ningbo Meishan Bonded Port Area Zhenming Equity Investment Management Partnership (LP）(宁波梅山保税港区臻铭股权投资管理合伙企业(有限合伙)), Ningbo Meishan Bonded Port Area Xinyi Equity Investment Management Partnership (LP) (宁波梅山保税港区馨怡股权投资管理合伙企业(有限合伙)), Ningbo Meishan Bonded Port Area Qixin Equity Investment Management Partnership (LP) (宁波梅山保税港区启馨股权投资管理合伙企业(有限合伙)), the Investors, Zhongxiao (to join as a party upon the Third Closing), ATA Learning (to join as a party upon the Third Closing) and ATA Online (to join as a party upon the Third Closing).

Securities Holders. Agreement” means the Securities Holders’ Agreement of Company entered into by the Issuer, the Company, the Major Shareholders, the Management Parties, the Holder and certain other parties thereto on the date hereof.

Securities Holders means the Initial Securities Holder, the Other Holders and any transferee thereof to whom the rights and obligations of a Securities Holder are transferred pursuant to subsection 6.8.

• The Issuer will give notice to the Securities Holders about the correction pursuant to § 6 of the General Conditions.

• If a Change of Control Triggering Event occurs, unless the Company has exercised its right to redeem the Securities, Holders of Securities will have the right to require the Company to repurchase all or any part (equal to $2,000 or an integral multiple of $1,000 in excess thereof) of their Securities pursuant to the offer described below (the “Change of Control Offer”).

• The Issuer shall give not less than 30 nor more than 60 days’ prior notice of the Variation to the Paying Agent and the Securities Holders in accordance with § 6 of the General Conditions (the "Variation Notice").

• With respect to any series of Securities, Holders of a majority in principal amount of the then outstanding Securities of that series may direct the time, method and place of conducting any proceeding for exercising any remedy available to the Trustee or exercising any trust or power conferred on it.

• Upon the occurrence of an Event of Default with respect to the Securities, Holders of the Securities may accelerate the maturity of the Securities in the manner and with the effect provided in the Indenture.

Securities Holders means any and all individuals or entities that hold or held, or beneficially own or owned, directly or indirectly, common stock or other equity securi- ties of HP on or before the Approval Date.

BSP 4 Acquisition Holdings 2, LP, and Providence Debt Fund III L.P., in their respective capacities as holders of Redeemable Preferred Units under the terms of (and as defined in) the FEG Company Agreement.

Securities Holders means Seacoast Capital Partners III, L.P., 54th Street Equity Holdings Inc., Benefit Street Partners SMA-K-L.P., BSP TCAP Pooled Holdings LLC, Benefit Street Partners Debt Fund IV L.P., BSP 3 Acquisition Holdings LP, BSP Landmark Acquisition Holdings LP, Benefit Street Partners SMA LM L.P., BSP 4 Acquisition Holdings 2, LP, and Providence Debt Fund III L.P., in their respective capacities as holders of Redeemable Preferred Units (as defined in the RSA) under the terms of (and as defined in) the FEG Company Agreement (as defined in the RSA).

Securities Holders means the Stockholders and holders of Warrants and Company Stock Options.

Securities Holders means (a) PAG, (b) the Issuer, (c) Cayman 2 and (d) any other Person who becomes a holder of Equity Securities of the Company and becomes party to this Agreement by executing a Deed of Adherence substantially in the form attached hereto as Exhibit C, in each case for so long as such Person remains a holder of Equity Securities of the Company, and in the case of any Securities Holder that is a natural Person shall be deemed to include the estate of such Securities Holder and the executor, conservator, committee or other similar legal representative of such Securities Holder or such Securities Holder’s estate following the death or incapacitation of such Securities Holder.
