Securities Agent definition

Securities Agent means any Registrar, Paying Agent, or co-Registrar or co-agent.

• The Company shall notify the Trustee of the name and address of any Securities Agent not a party to this Indenture.

• In the case of a mutilated, lost, destroyed or stolen Security, if required by the Trustee or the Company, indemnity (including in the form of a bond) must be provided by the Holder that is reasonably satisfactory to the Trustee and the Company to indemnify and hold harmless the Company, the Trustee or any Securities Agent from any loss that any of them may suffer if such Security is replaced.

• If the Company mails a notice or communication to Holders, it shall mail a copy to the Trustee and each Securities Agent at the same time.

• If the Trustee or the Securities Agent is required, pursuant to the express terms of this Indenture or the Securities, to mail a notice or communication to Holders, the Trustee or the Securities Agent, as the case may be, shall also mail a copy of such notice or communication to the Company.

• In no event shall the Trustee or any Securities Agent (if other than the Company) be responsible for determining or charged with knowledge of the Resale Restriction Termination Date.
