Secured Guarantor definition

Secured Guarantor is a Guarantor which has granted Agent a first-priority Lien in such assets of the Guarantor consistent with the description of the Collateral hereunder (as if the Collateral were deemed to pertain to such Guarantor), and has executed and delivered to Agent such agreements, certificates and other documents in connection with the foregoing as reasonably required by Agent.
Secured Guarantor means any entity that becomes a secured guarantor with respect to the Obligations hereunder.
Secured Guarantor means any Subsidiary of Borrower organized under the laws of the United States, a state thereof, or the District of Columbia, which Subsidiary is a Borrower or has provided a Guarantee of the Obligations of the Borrowers which Guarantee is secured by a Lien granted by such Subsidiary to Agent in all or substantially all of its property of the type described in Schedule 9.1 hereto.

More Definitions of Secured Guarantor

Secured Guarantor means any Credit Party that has executed or delivered, or shall in the future execute or deliver to Agent, any Guarantee of all or any portion of the Obligations, the obligations under which are secured by all or substantially all of its property of the type described in Schedule 9.1 hereto (other than Excluded Property).
Secured Guarantor means the Company, each Canadian Subsidiary, each U.S. Subsidiary, each Australian Subsidiary and any other Subsidiary of the Company that grants the Collateral Trustee a security interest in its assets pursuant to documentation customary for its jurisdiction of organization.
Secured Guarantor is any Guarantor who has (a) executed and delivered to Bank a Guaranty in form and substance reasonably satisfactory to Bank pursuant to which such Guarantor has granted Bank a first priority perfected lien (subject to Permitted Liens) in the types of assets substantially similar to the Collateral to secure the Obligations; (b) delivered to Bank such appropriate control agreement or similar agreements providing control of any Collateral in form and substance reasonably satisfactory to Bank if and to the extent required under this Agreement; and (c) provided to Bank all other documentation in form and substance satisfactory to Bank in its reasonable discretion which in its opinion is appropriate with respect to the execution and delivery of the applicable documentation referred to above and which Bank has reasonably requested.
Secured Guarantor is any Guarantor with respect to which Bank has a first priority security interest (subject only to Permitted Liens that are permitted pursuant to the terms of this Agreement to have superior priority to Bank’s Lien in this Agreement) in all of such Guarantor’s personal property.
Secured Guarantor means collectively (i) Krystalsea, (ii) NCL (Bahamas), (iii) Great Stirrup Cay Limited, (iv) Pride of Hawaii, (v) Sirena Acquisition, (vi) US NewCo, (vii) UK NewCo, (viii) Oceania Cruises, (ix) Seven Seas and (x) Prestige Holdings.
