Section Four. The Village acknowledges that neither the School District nor any agent or employee of the School District has made any representation or warranty concerning 8,020 square feet to be occupied by the Village (hereinafter referred to as the “Premises”). With respect to the suitability, condition or repair thereof, the Village accepts possession of the Premises “as is.” The Village’s taking possession of the Premises shall be conclusive evidence as against the Village that the Premises were in good order and satisfactory condition when the Village took possession hereunder. All damage or injury to the Premises caused by acts or negligence of the Village, its agents, employees, licensees, invitees, permittees, or visitors shall be promptly repaired by the School District and billed at 100% of costs (including time and material), to the Village. Damage to any equipment including but not limited to computer equipment (ports in the wall, server room equipment, etc.), if due to the negligence, acts or omissions of the Village shall be the specific responsibility of the Village.

Section Four. If any section, paragraph, or provision of this Resolution shall be held invalid or unenforceable for any reason, such invalidity or unenforceability shall not affect any of the remaining provisions of this Resolution.

Section Four. The District shall be responsible for any and all damage to the Village's reserve vehicles while they are being used by the District. The Village shall be responsible for any and all damage to the District's reserve vehicles while they are being used by the Village.
