Section 338(g) Election definition
Section 338(g) Election shall have the meaning set forth in Section 7.08(b).
Section 338(g) Election means an election described in Section 338(g) of the Code in connection with an election under Section 338(h)(10) of the Code with respect to the acquisition of Shares pursuant to this Agreement. Section 338(g) Election shall include any corresponding election under state or local law for which a separate election is permissible with respect to Buyer's acquisition of Shares pursuant to this Agreement.

Notwithstanding the foregoing, Buyer shall not make a Section 338(g) Election with respect to any deemed purchase of any Subsidiary of the Company incorporated in the United States arising in connection with a Section 338(g) Election in respect of the Company.
