Second Lien Debt Documents means (a) the “Notes Documents”, as such term is defined in the Second Lien Notes Indenture and (b) the Additional Second Lien Debt Documents.

Except as expressly provided herein, each other Representative and Collateral Agent is acting in the capacity of Representative and Collateral Agent, respectively, solely for the Claimholders under the First Lien Loan Documents or Second Lien Debt Documents for which it is the named Representative or Collateral Agent, as the case may be, in the applicable Joinder Agreement.

Second Lien Debt Documents means each of the Second Lien Loan Documents, the Senior Notes Debt Documents, and the New Senior Notes Debt Documents.

Second Lien Debt Documents means the senior secured notes evidencing the Second Lien Debt, the Second Lien Debt Purchase Agreement and all other agreements, documents and instruments executed and delivered in connection therewith, in each case as in effect (i) on June 30, 2005 for the $40,000,000 “Loan A” portion thereof as described in the Second Lien Debt Purchase Agreement, and (ii) as of the Closing Date for the $45,000,000 “Loan B” portion thereof as described in the Second Lien Debt Purchase Agreement, as each of the same may be amended, modified, supplemented, renewed, restated or replaced in accordance with the terms of this Agreement.

Second Lien Debt Documents means the Second Lien Purchase Agreement entered into on the date hereof, all notes issued thereunder and all security agreements, guaranties, pledge agreements, mortgages, deeds of trust and other agreements, documents and instruments now or at any time hereafter entered into or delivered by the Guarantor or other Person pursuant thereto, or evidencing any replacement, substitution, refunding, renewal or refinancing of or for all or any part of, the Second Lien Debt, in each case as the same may be amended, modified, supplemented, extended, renewed or restated and otherwise in effect from time to time.

Second Lien Debt Documents shall have the meaning set forth by the term “Credit Documents” in the Second Lien Loan Agreement (as in effect on the date hereof).

Second Lien Debt Documents means the Second Lien Indenture and, subject to the Intercreditor Agreement, all other instruments, agreements and other documents evidencing or governing the Second Lien Debt, or providing for any Guarantee or other right in respect thereof, in each case as amended, supplemented, extended, renewed, restated, replaced or otherwise modified from time to time in accordance with the Intercreditor Agreement.
