Second Extension Date definition

Second Extension Date has the meaning specified in Section 2.15(a).

Second Extension Date means the date that is 90 days after the date of this Agreement; provided, however, that in the event that (i) on or prior to the date that is five (5) Business Days prior to the 90th day after the date of this Agreement, the Buyer Parties have delivered a written notice in accordance with Section 2.4(a) that the Buyer Parties intend that the Initial Closing shall occur on or prior to the 90th day after the date of this Agreement, and (ii) on or prior to the date for the Initial Closing set forth in the notice, the conditions set forth in Sections 10.1.1, 10.1.2 and 10.1.3 (except to the extent waived by the Buyer Parties, in their sole and absolute discretion) shall not have been satisfied, then the “Second Extension Date” shall mean the date that is five (5) Business Days following the date on which the conditions set forth in Sections 10.1.1, 10.1.2 and 10.1.3 have been satisfied (except to the extent waived by the Buyer Parties, in their sole and absolute discretion).

Second Extension Date shall have the meaning set forth in Section 3.16.

Examples of Second Extension Date in a sentence

• In the event that PG&E has provided the Backstop Party a timely and proper Second Extension Notice and this Backstop Commitment Letter remains in full force and effect, PG&E may extend the Second Extension Date to the 60th day following the Outside Date (the “Third Extension Date”) upon providing written notice to the Backstop Party of its intent to exercise this option (the “Third Extension Notice”) no later than three days prior to the Second Extension Date.

• The second extension request shall expire if not made on or prior to the Second Extension Date and shall not take effect prior to the Second Extension Date.

• In the event that two extension requests are exercised and accepted by all Lenders, upon effectiveness of the second extension, this Agreement shall be automatically amended as of the Second Extension Date to provide that the definition of Termination Date would be extended by a subsequent year.

• As of the Second Extension Date, any and all references in this Agreement, the Notes, if any, or any of the other Loan Documents to the “Termination Date” shall refer to the Termination Date as so extended.

• The Borrower shall pay to the Administrative Agent (i) on the First Extension Date, for the account of each Lender, a Facility extension fee, in an amount equal to 0.25% of each Lender’s Revolving Credit Commitment then outstanding and (ii) on the Second Extension Date, for the account of each Lender, a Facility extension fee, in an amount equal to 0.25% of each Lender’s Revolving Credit Commitment then outstanding.

More Definitions of Second Extension Date

Second Extension Date the date on which the conditions precedent set forth in Section III of the Second Extension Agreement shall have been satisfied.

Second Extension Date means October 8, 2002.
