The current Valuation Point is 12 noon London time on each Dealing Day. "VAT" means value added tax.

Each of the Purchaser, Lifezone Metals and Lifezone Holdings shall bear the cost of all stamp duty, SDRT, SDLT, any notarial fees and all registration and transfer taxes and duties or their equivalents in all jurisdictions where such fees, taxes and duties are payable as a result of the transactions contemplated by this Agreement.
