Subject to section 3.6, Income attributable to Scotts Securities (other than Income attributable to any sale of Class Discretionary Shares) shall be allocated among the Capital Accounts of the Partners, pro rata, in proportion to their respective Allocable Scotts Securities as of the date of such Income allocation.
The purpose of this section 3.6 is to correct those misallocations over a five-year period to the greatest extent possible from available Income from Scotts Securities (other than Income attributable to any sale of Class Discretionary Shares) (such non-excluded income, the “Reallocation Income”), and should be interpreted consistently with this intent.
The Partnership is organized for the object and purpose of engaging in any lawful act or activity which a limited partnership may engage in under Delaware law, including, but not limited to, holding the Scotts Securities, cash and other securities.
Second, among the Partners, pro rata, in proportion to their respective Allocable Scotts Securities (as of the date that Income was distributed); but not in excess of each such Partner’s Capital Account.
All other Income shall be allocated among the Capital Accounts of the Partners, pro rata, in proportion to their respective Allocable Scotts Securities as of the date of such Income allocation.
