As a non-employee consultant, you agree that, among other policies and guidelines, the GTE Conflict of Interest Guidelines and the Business and Scientific Information Policy or replacement policies will apply to you.
For the avoidance of doubt, these obligations shall also extend to the members of the receiving party’s Group and that may from time to time be granted or otherwise obtain access to or use of such Confidential Information, including all Scientific Information, Know-how and Other Confidential Information for the purpose of performing the Agreement.
Pulmokine shall disclose to Licensee, at Pulmokine’s cost and expense, the Licensed Know-How as Controlled by Pulmokine as of the Effective Date, including all Scientific Information, Data and other Information related to the Compound, the Backup Compound, the Asthma Compounds, Biomarkers and Licensed Products.
The foregoing rights do not under any circumstances include any right for BeiGene or its designees to (i) manufacture the Product in or outside the Territory; or (ii) exercise in any way whatsoever any rights in or with respect to any Celgene tangible or intangible property (including the Patent, the Know-how, Scientific Information and other Celgene Intellectual Property) outside of the Territory or in any way within the Territory except as expressly set forth herein.
The Right of First Negotiation shall in no way alter or affect F-DE’s ownership rights in and to the Scientific Information, Data and/or the Product outside of the Territory.
