The facility fee shall be due and payable quarterly in arrears on the last Business Day of each March, June, September and December during the Availability Period, commencing with the first such date to occur after the Closing Date, and on the Scheduled Termination Date (and, if applicable, thereafter on demand).
The amounts so converted shall be treated for all purposes of this Agreement as Loans except that after the Scheduled Termination Date: (i) the Borrowers may not make any additional Borrowings; (ii) the amounts paid or prepaid may not be reborrowed; (iii) the amount of each Lender’s Commitment shall be terminated; and (iv) no facility fees shall accrue after the Scheduled Termination Date.
Any portion of the Loans not so converted to Term Loans shall be repaid in full on the Scheduled Termination Date.
