Sanofi will not be liable to Neurocrine for any loss, claim or demand made by Neurocrine, or made against Neurocrine by any Third Party, due to or arising from the use of such Materials following their receipt by Neurocrine except, to the extent permitted by Applicable Laws, when caused by the negligence or willful misconduct of Sanofi.
Upon approval of the Request for Review by Neurocrine and the applicable Sanofi Affiliate or Sanofi Services Provider, a copy of the fully signed Request for Review shall be sent to Sanofi's recipient indicated thereon for Sanofi's records.
It is understood that at all times Sanofi and its Affiliates retain the right to (i) practice the Licensed Patents and the Licensed Know-How outside the scope of the license granted to Neurocrine in Section 2.1 and (ii) make and use the Sanofi Compounds as tools compounds for internal research purposes only.
For clarity, as set forth in Section 7.1.1 (notwithstanding that the Licensed Know-How may have been made prior to the Effective Date and not under or in connection with this Agreement), any such Patents that claim inventions made by both one or more employees or contractors of Sanofi or its Affiliates and one or more employees or contractors of Neurocrine or its Affiliates shall be “Joint Patents” and shall be jointly owned by the Parties.
If any Payment due to Sanofi under this Agreement is not paid in when due, then Neurocrine shall pay interest thereon and on any unpaid accrued interest (before and after any judgment) at an annual rate (but with interest accruing on a daily basis) of [***] above LIBOR, such interest to run from the date upon which payment of such amount became due until payment thereof in full together with such accrued interest.
