Sample Closing Statement definition

Sample Closing Statement means the sample calculation of (a) Net Working Capital, (b) Indebtedness, (c) Cash and Cash Equivalents, and (d) Transaction Expenses of the Group Companies as of December 31, 2019, in each case prepared in accordance with the Accounting Principles, and attached hereto as Exhibit C.

Sample Closing Statement shall have the meaning set forth in Section 2.16(a).

Sample Closing Statement means the calculation set forth on Annex B-2, in a manner consistent with the Accounting Principles, for illustrative purposes only, of the Business Working Capital and the Business Net Cash, in each case, as of December 31, 2017, including the line items to be included as assets and liabilities in the calculation of the Business Working Capital.
