Each Sales Milestone Payment is payable a maximum of one time only, regardless of the number of times a Licensed Product achieves a particular Sales Threshold or the number of Licensed Products that achieve a particular Sales Threshold.
For the avoidance of doubt, the date that any sale shall be deemed to have been effected for purposes of determining whether the Monthly Sales Threshold has been achieved in any calendar month and the corresponding, applicable discount to be applied pursuant to the immediately preceding sentence (i.e. 2% or 3%) shall be conclusively determined by the trade date set forth on the relevant confirmation sales ticket, and such determination shall be final and binding upon the parties.
