In the event the Payment Fund shall be insufficient to pay the Offer Price in accordance with Section 1.1(b) and the Merger Consideration in accordance with Section 2.5 or the Option Consideration, RSU Consideration or PSU Consideration in accordance with Section 2.8, Parent shall promptly deposit, or cause to be deposited, additional funds with the Paying Agent in an amount that is equal to the shortfall that is required to make such payment.
The Payment Fund shall not be used for any purpose other than to pay the aggregate Offer Price in the Offer and the aggregate Merger Consideration, Option Consideration, RSU Consideration and PSU Consideration in the Merger as provided herein.
More Definitions of RSU Consideration
RSU Consideration has the meaning set forth in Section 2.04(b)(i).
RSU Consideration means:
(i) with respect to each Company RSU that is not a Performance RSU, one Company Share for each Company RSU, and
(ii) with respect to each RSU that is a Performance RSU, a cash payment in an amount determined in accordance with Section 2.16 of the Arrangement Agreement;
