RRI means a licensed corporation licensed by, or an authorised financial institution registered with, the Securities and Futures Commission (“SFC”) to carry out proprietary trading, or provide securities brokerage services for another person in respect of Orders placed through an account opened and maintained for that person.

RRI has the meaning set forth in the preamble hereto.

• RRI shall be the “employer” for tax, legal reporting, payroll processing and similar purposes.

• During the Employment Period, Executive shall be entitled to receive prompt reimbursement for all reasonable travel and other expenses incurred by Executive in carrying out Executive’s duties under this Agreement, provided that Executive complies with the policies, practices and procedures of the Company and RRI for submission of expense reports, receipts or similar documentation of the incurrence and purpose of such expenses.

• Instead, the negative RRI number shall be added to the result of the subsequent years RRI calculation and the result shall be the RRI adjustment for that subsequent year.

• During the Employment Period, Executive shall be entitled to receive prompt reimbursement for all reasonable travel and other expenses incurred by Executive in carrying out Executive’s duties under this Agreement, provided that Executive complies with the policies, practices and procedures of the Company and RRI for submission of expense reports, receipts or similar documentation of the incurrence and purpose of such expenses (collectively referred to herein as “Expense Policies”).
