ROFR Holder definition

ROFR Holder means each of the Investors and any of its Affiliates and its permitted assignees to whom its rights under Section 8.2 have been duly assigned in accordance with this Agreement;

ROFR Holder shall have the meaning set forth in Section 4.1 hereto.

ROFR Holder is defined in Section 7.4(a).

Examples of ROFR Holder in a sentence

• The closing of any purchase of shares of the Company by a ROFR Holder pursuant to this Section 8.2(c) (the “ROFR Closing”) shall occur on such date as may be agreed by such ROFR Holder and the Proposed ROFR Seller, but in no event later than seventy-five (75) Business Days after the date on which the ROFR Notice is deemed to have been accepted.

• In the event the Company proposes to undertake an issuance of New Securities, it shall give each ROFR Holder written notice of its intention, describing the type of New Securities, and their price and the general terms upon which the Company proposes to issue the same.

• The rights of first refusal of a ROFR Holder under this Section 4 may be transferred subject to the same restrictions as any transfer of registration rights pursuant to Section 2.12.

• Each Purchasing ROFR Holder who has been allocated all the Over-Allotment Transfer Shares that it has elected to purchase shall cease to participate in any subsequent allocation step.

• Xxxxxxx (each, a “ROFR Holder,” which term shall include, if applicable, the executors, administrators, personal representatives, heirs and assigns of such ROFR Holder) (or any agents or representatives of a ROFR Holder) in connection with the Stockholders’ Agreement and/or any of the transactions contemplated hereby, Sellers shall afford Buyer a reasonable opportunity to review and comment upon the content of the communication and shall incorporate the reasonable comments of Buyer.

ROFR Holder means: in respect of spaces owned by SAUC, the Purchaser; in respect of spaces owned by SAUC, the Developer; in respect of spaces owned by the Developer, SAUC; and in respect of the Premises, SAUC.
