Customer must indemnify, defend, and hold harmless RIB, its Affiliates, and their respective directors, officers, employees, and agents from and against any Loss arising from or related to a claim of a third party with respect to a breach of the foregoing representations and warranties of Customer.
Customer’s sole remedy and RIB’s sole liability and obligation for breach of the foregoing warranty will be for RIB, at its election, either to re-perform the Maintenance and Enhancements or to refund any fees paid to RIB with respect thereto.
All such user IDs and passwords are deemed to be Confidential Information of both Customer and RIB.
