Retained Records definition

Retained Records means any accounting and financial and other records of the Transferor relating to the Transferred Business which the Transferor is required by law to retain;
Retained Records means the books and records of the Sellers relating partly but not wholly and exclusively to the Assets and the Business;
Retained Records has the meaning set forth in Section 7.10(b).

Examples of Retained Records in a sentence

  • Odetics shall maintain the Retained Records in a manner and at locations that reasonably facilitates retrieval and review by ATL.

  • If the Buyer does not take over any Retained Records which any Seller wishes to dispose of within three months of being offered the opportunity to take over the same, the relevant Seller may destroy such Retained Records.

  • The Sellers Parent (on behalf of the Sellers) shall have the same rights to inspect the Retained Records, which the Buyer takes over, pursuant to clauses 19.1 to 19.4 (inclusive).

  • If Odetics wishes to dispose of or destroy such records and files after such six year period, it shall use reasonable efforts to first give 30 days' prior written notice to ATL and ATL shall have the right, at its option and expense, upon prior written notice to Odetics within such 30 day period, to take possession of the Retained Records within 60 days after the date of ATL's notice to Odetics.

More Definitions of Retained Records

Retained Records means Books and Records which:
Retained Records shall have the meaning ascribed to such term in Section 6.1(b) hereof.
Retained Records shall have the meaning specified in Section 2.2.4.
Retained Records means the records to remain in the possession of Seller pursuant to the terms of the Records Agreement, a copy of which is attached hereto as Exhibit B.
Retained Records means any accounting and financial and other records of a Transferor relating to the relevant Transferred Business which the relevant Transferor is required by law to retain;
Retained Records means (whether in paper or electronic form in all cases) all files and records of any of Sellers or any Retained Subsidiary relating to or arising out of any aspect of their business and affairs not included in the Business or the Assets, including, without limitation, financial records, Tax Returns, dispute settlements, transactional records, realty abstracts and other realty records, minute books and other corporate records of any of Sellers or any Retained Subsidiary or former subsidiary of Sellers or any Retained Subsidiary.
Retained Records has the meaning given in paragraph (h) of the definition of Assets.
