Restricted Transaction definition

Restricted Transaction means any of the following transactions or transmit- tals involving any credit, funds, instru- ment, or proceeds that the Act pro- hibits any person engaged in the busi- ness of betting or wagering (which does not include the activities of a financial transaction provider, or any inter- active computer service or tele- communications service) from know- ingly accepting, in connection with the participation of another person in un- lawful Internet gambling
Restricted Transaction means a transaction or transmittal, on behalf of an individual who places an unlawful drug importation re- quest to any person engaged in the operation of an unregistered foreign pharmacy, of—
Restricted Transaction means, in respect of the Parent and its Subsidiaries, including the Borrower: (i) any financing transaction, secured by or referencing the CHTR Shares (other than the Loans and, for the avoidance of doubt, any Permitted Derivatives Transactions), (ii) any grant, occurrence or existence of any lien on the CHTR Shares (other than (x) Liens securing the obligations under the Loan Documents, (y) Permitted Liens and (z) with respect to the Parent and its Subsidiaries (other than the Borrower), Liens on CHTR Shares in connection with any Permitted Derivatives Transaction), or (iii) any swap, hedge or derivative transaction (including by means of a physically- or cash-settled derivative or otherwise) related to the CHTR Shares other than any Permitted Derivatives Transaction. For the avoidance of doubt, none of the following shall constitute a Restricted Transaction: (a) the financing hereunder and the other Loan Documents; (b) until the Cheetah Payoff occurs in accordance with this Agreement, under the Cheetah 4 Margin Loan Documents or under the Cheetah 5 Margin Loan Documents; (c) any sale or other transfer of the Equity Interests of the Parent or the Borrower and (d) any “put”, makewell right or similar right or transaction that is entered into with a party that is not a financial institution in connection with a strategic transaction.

Examples of Restricted Transaction in a sentence

  • All DoubleLine Personnel are prohibited from engaging in any Restricted Transaction (as defined below) without first obtaining prior approval by the Chief Compliance Officer or the CCO’s designates (collectively, the “Approving Officers”).

  • For purposes hereof, a Restricted Transaction shall mean: • acquiring ownership, directly or indirectly, in any security issued in an initial public offering or a limited offering or private placement (each as defined below), including any interest in a hedge fund • transfers of interest in private placements sponsored by the Companies, other than transfers for estate planning purposes or that are court-mandated • transactions involving Prohibited Securities (as defined in Exhibit VIII).

  • All DoubleLine Personnel are prohibited from engaging in any Restricted Transaction (as defined below) without first obtaining prior approval by the CCO or the CCO’s designees (collectively, the “Approving Officers”).

  • I agree that for a period of 6 months following the earlier of (i) expiry or termination of the Contract Period and (ii) my leaving the employment of the Company, I shall not provide advice or assistance to, and shall not be employed or engaged by, any person or entity (other than the Authority) in connection with any Restricted Transaction, other than with the express written consent of the Authority, such consent not to be unreasonably withheld.

  • All DoubleLine Personnel are prohibited from engaging in any Restricted Transaction (as defined below) without first obtaining prior approval by the Approving Officers.


More Definitions of Restricted Transaction

Restricted Transaction means, in respect of Splitco and its Subsidiaries, including the Borrower: (i) any financing transaction, secured by or referencing any Shares other than the Loans and any Permitted Derivatives Transactions, (ii) any grant, occurrence or existence of any Lien on any Shares other than (x) Liens securing the obligations under the Loan Documents, (y) Permitted Liens and (z) with respect to Splitco and its Subsidiaries (other than the Borrower), Liens on any Shares in connection with any Permitted Derivatives Transaction, or (iii) any swap, hedge or derivative transaction (including by means of a physically- or cash-settled derivative or otherwise) related to any Shares other than any Permitted Derivatives Transaction. For the avoidance of doubt, none of the following shall constitute a Restricted Transaction: (a) the financing hereunder and the other Loan Documents; (b) any sale or other transfer of the Equity Interests of Splitco or the Borrower and (c) any “put”, makewell right or similar right or transaction that is entered into with a party that is not a financial institution in connection with a strategic transaction.
Restricted Transaction means any transaction or series of transactions by a Person during the period from the Distribution Date to the first day after the second anniversary of the Distribution Date to:

Restricted Transaction shall have the meaning set forth in Section 7.1.
Restricted Transaction means, with respect to Borrower, (a) any financing or other transaction (other than the transactions contemplated hereby or by other Facility Documents) secured by the Pledged Shares, (b) any grant, occurrence or existence of any Lien on the Pledged Shares (other than pursuant to the transactions contemplated hereby or by other Facility Documents) and (c) any sale, swap, hedge (including by means of a physical or cash settled derivative referencing Shares or otherwise) or transfer of the Pledged Shares (other than those permitted under the Facility Documents).
