Restricted Names definition

Restricted Names means the names set forth in Section 1.1(f) of the Seller Disclosure Schedule.

Restricted Names is defined in Section 2.1(j).

Restricted Names has the meaning set forth in Section 10.5.

Examples of Restricted Names in a sentence

• At no time shall Buyer use the name “Orient”, and/or “Orient Bio” (collectively with any other name, variation, combination or derivative likely to cause confusion therewith, (the " Restricted Names") in any manner, for any purpose and/or in any geographic territory.

• From and after the Closing, Buyer shall not, and shall cause its Affiliates not to, form or organize any corporation, partnership, joint venture, estate, trust, company, firm or other enterprise, association, organization, or entity that uses as, or incorporates as part of, its legal or trade name the Restricted Names or any analogous or derivative words.

• Any use of the Restricted Names by Seller as permitted in this Section 9.03 is subject to its use of each Restricted Name in the same form and manner as, to the same extent as (without an increase in extent or type of uses of each Restricted Name) and subject to the same standards of quality that are in effect for each Restricted Name as of the Closing Date.

• No later than three (3) Business Days after the Closing Date, Sellers shall file with the applicable Governmental Authority all applications or amendments to abandon or change each of the Restricted Names that were delivered at Closing pursuant to Section 3.2(p).

• Seller agrees that from and after the Closing, Seller shall not have any right, title, interest, license or other right whatsoever in the Restricted Names.

Restricted Names means the names set forth on Schedule 1.1(h) or any derivative or variation thereof, and any Trademarks associated with any such name.

Restricted Names has the meaning set forth in Section 10.6 hereof. "Rule" or "Rules" means the Federal Rules of Bankruptcy Procedure.
