This Agreement may be amended or modified in writing by the Manager, subject to the prior written consent of the Requisite Members.
Any provision of this Agreement may be amended or waived by the written consent of the Requisite Members.
Except when the Approval of the Members (or the Requisite Members) is expressly required by the Act, the Certificate of Formation or this Agreement, the Board shall have full, complete and exclusive authority, power, and discretion to manage and control the business, property and affairs of the Company, to make all decisions regarding those matters and to perform any and all other acts or activities customary or incident to the management of the Company’s business, property and affairs.
The initial President shall serve for a one-year term commencing on the date of execution hereof unless the Requisite Members agree otherwise.
The affirmative vote or consent of the Requisite Members are the only votes or consents of the holders of any class or series of Company Interests necessary to adopt or approve this Agreement, the Merger, the Company Ancillary Agreements, the other transactions contemplated hereby and thereby (such vote or consent, the “Member Approval”).
