Any exemption granted hereunder may be granted in whole or in part, and may be subject to limitations or conditions (including a requirement that the Requesting Person agree that it will not acquire Beneficial Ownership of Company Securities in excess of the maximum number and percentage of shares approved by the Board of Directors), in each case as the Board of Directors may determine, including that any such violation shall result in the Requesting Person becoming an Acquiring Person.
