Reporting Event definition

Reporting Event means any transaction that requires the US Borrower to furnish pro forma financial information to the Securities and Exchange Commission under Article 11 of Regulation S-X promulgated under the Securities Act.
Reporting Event means the consummation of TeraComm's first firm-commitment underwritten public offering of Common Stock.
Reporting Event has the meaning provided in Section 1.04.

Examples of Reporting Event in a sentence

  • No election pursuant to this Section 7.03 with respect to a Reporting Event of Default will affect the rights of any Holder with respect to any other Event of Default, including with respect to any other Reporting Event of Default.

  • Notwithstanding anything to the contrary in this Indenture or the Notes, the Company may elect that the sole remedy for any Event of Default (a “Reporting Event of Default”) pursuant to Section 7.01(A)(vi) arising from the Company’s failure to comply with Section 3.02 will, for each of the first one hundred and eighty (180) calendar days on which a Reporting Event of Default has occurred and is continuing, consist exclusively of the accrual of Special Interest on the Notes.

  • Notwithstanding anything to the contrary in this Indenture or the Notes, the Company may elect that the sole remedy for any Event of Default (a “Reporting Event of Default”) pursuant to Section 7.01(A)(vi) arising from the Company’s failure to comply with Section 3.02 will, for each of the first three hundred and sixty five (365) calendar days on which a Reporting Event of Default has occurred and is continuing, consist exclusively of the accrual of Special Interest on the Notes.

  • Notwithstanding anything to the contrary in this Indenture or the Notes, the Company may elect that the sole remedy for any Event of Default (a “Reporting Event of Default”) pursuant to Section 7.01(A)(vi) arising from the Company’s failure to comply with Section 3.02 will, for each of the first one hundred eighty (180) calendar days on which a Reporting Event of Default has occurred and is continuing, consist exclusively of the accrual of Special Interest on the Notes.

  • The provisions of this Section 6.04 will not affect the rights of Holders of Securities in the event of the occurrence of any Event of Default that is not a Reporting Event of Default.


More Definitions of Reporting Event

Reporting Event means (i) the first dosing of the first human participant in a Phase II clinical trial of a Licensed Product, (ii) the first dosing of the first human participant in a Phase III clinical trial of a Licensed Product, and (iii) the first regulatory approval in the United States of America of a Licensed Product.
Reporting Event means the Company’s initial public offering of its Common Stock pursuant to an effective registration statement under the Securities Act, or equivalent law of another jurisdiction, or upon such date as the Company becomes subject to the reporting requirements of Section 13(a) or 15(d) of the Exchange Act, including, without limitation, upon consummation of a reverse merger or upon the effectiveness of a registration statement on Form 10 filed by the Company under the Exchange Act or equivalent document.
Reporting Event. The completion by the Company of an initial public offering of its Interests or any other transaction pursuant to which the Company becomes subject to the reporting requirements of Section 15(d) of the Exchange Act. Restricted Securities: (a) any Warrants bearing the applicable legend set forth in Section 9.1, (b) any Interests issued or issuable upon the exercise of Warrants which are evidenced by a certificate or certificates bearing the applicable legend set forth in such Section, and (c) any Interests issued subsequent to the exercise of any of the Warrants as a dividend or other distribution with respect to, or resulting from a subdivision of the outstanding Interests into a greater number of Interests by reclassification, or otherwise, or in exchange for or in replacement of the Interests issued upon such exercise, which are evidenced by a certificate or certificates bearing the applicable legend set forth in such Section.
Reporting Event. A Reporting Event shall have occurred if --------------- with respect to any Underlying Security if periodic reports required to be filed by an the Underlying Securities Issuer of such Underlying Security under the United States Securities Exchange Act of 1934, as amended, are no longer being filed and the Trustor determines that, in consultation with the Securities and Exchange Commission, that under applicable securities laws, rules or regulations the Trust must liquidate such Underlying Securities.
Reporting Event means any of the following events, with respect to any of the Outstanding Notes:
Reporting Event has the meaning set forth in Section 5.01(l).
Reporting Event means confirmation by Bank, in its sole and absolute discretion, that Borrower has delivered to Bank, Annual Audited Financial Statements for Borrower’s fiscal year ending December 31, 2015.
