Replacement Period definition

Replacement Period shall have the meaning specified in Section 11.
Replacement Period. The period beginning on the Closing Date and ending on and including the first to occur of any of the following events or dates: (i) the end of the Due Period related to the Payment Date in September 2017; (ii) the end of the Due Period related to the Payment Date on which all of the Securities are redeemed as described herein under Section 9.1; and (iii) the date on which an Event of Default has occurred.
Replacement Period means, with respect to the Issuer’s use of all or any portion of Disposition Proceeds as permitted in accordance with this Master Indenture, the period beginning on the date of such Railcar Disposition and ending on the earlier of (i) the 180 th day after the date of the Issuer’s receipt of all Disposition Proceeds from such Railcar Disposition and (ii) the occurrence of an Event of Default.

Examples of Replacement Period in a sentence

  • If during the Replacement Period the Collateral liquidation proceeds are insufficient to replace any of the Loaned Securities and any Distributions then due, Bank shall, subject to satisfaction of Lender's obligations under Paragraph 2(c) of this Article, pay such additional amounts as are necessary to make such replacement or payment.

  • If a Commitment Party Default occurs, the Outside Date shall be delayed only to the extent necessary to allow for the Commitment Party Replacement to be completed within the Commitment Party Replacement Period.

  • If during the Replacement Period the Collateral liquidation proceeds are insufficient to replace any of the Loaned Securities and any Distributions then due, Bank shall, subject to satisfaction of Lender’s obligations under Paragraph 2(c) of this Article, pay such additional amounts as are necessary to make such replacement or payment.

  • Upon any such declaration such principal, together with all accrued and unpaid interest thereon, and other amounts payable thereunder in accordance with the Priority of Payments will become immediately due and payable (except that in the case of an Event of Default described in Section 5.1(f) or 5.1(g) above, such an acceleration shall occur automatically and without any further action and any such acceleration shall automatically terminate the Replacement Period).

  • If during the Replacement Period the Collateral liquidation proceeds are insufficient to replace any of the Loaned Securities not returned, Bank shall, subject to satisfaction of Lender’s obligations under paragraph 2(b) of this Article, pay such additional amounts as are necessary to make such replacement.


More Definitions of Replacement Period

Replacement Period means the Initial Replacement Period and each 45 calendar day period falling after the date of redemption of any Collateral Securities occurring during the period from and including the Issue Date up to but excluding the date falling 5 days prior to the Maturity Date, provided that no Replacement Period shall end on a date falling after the Maturity Date.
Replacement Period means, with respect to the Issuer’s use of all or any portion of Net Disposition Proceeds as permitted in accordance with this Master Indenture, the period beginning on the date of the applicable Railcar Disposition and ending on the earlier of (i) either (A) the 180th day after the date of the Issuer’s receipt of all Net Disposition Proceeds from such Railcar Disposition, or (B) if all Railcar Dispositions occurring during a single Collection Period in the aggregate relate to more than fifty percent (50%) of the Adjusted Value of all Portfolio Railcars in existence at beginning of such Collection Period, the 90th day after the date of the Issuer’s receipt of all Net Disposition Proceeds from such Railcar Disposition, and (ii) the occurrence of an Event of Default.

Replacement Period means the period from the Scheduled Collateral Component Maturity Date to the Replacement Collateral Component Settlement Date (each inclusive).

Replacement Period means the period beginning on and including the Effective Date and ending on and including the date that is 180 calendar days before the Scheduled Termination Date.
