Replacement Agent definition

Replacement Agent means the Fiscal Agent or, in respect of any Tranche of Notes, the Paying Agent named as such in the relevant Final Terms or Drawdown Prospectus (as the case may be);

Replacement Agent has the meaning given to it in Condition 12 (Replacement of Covered Bonds);

Replacement Agent shall have the meaning set forth in Section 3.8(d).

Examples of Replacement Agent in a sentence

• Unless the Issuer instructs otherwise, the Replacement Agent shall destroy each mutilated or defaced Global Note Certificate or Individual Note Certificate surrendered to and cancelled by it and in respect of which a replacement has been delivered and shall furnish the Issuer upon written request with a certificate as to such destruction specifying the certificate or serial numbers of the relevant Global Note Certificate or Individual Note Certificates so destroyed.

• Each of the Registrar and the Replacement Agent is authorised by the Issuer to authenticate such Global Note Certificates and Individual Note Certificates as may be required to be authenticated hereunder by the signature of any of their respective officers or any other person duly authorised for the purpose by the Registrar or (as the case may be) the Replacement Agent.

• The Issuer shall ensure that each of the Registrar and the Replacement Agent holds sufficient Note Certificates to fulfil its respective obligations under this Clause 3 and Clause 5 (Replacement Notes) and each of the Registrar and the Replacement Agent undertakes to notify the Issuer if it holds insufficient Note Certificates for such purposes.

Replacement Agent and "Agents" mean and include each Fiscal Agent, Paying Agent, Replacement Agent and Agent from time to time appointed to exercise the powers and undertake the duties conferred and imposed upon it by this Agreement and notified to the Noteholders under clause 23;

Replacement Agent means the Paying Agent in Luxembourg;
