At the Company Merger Effective Time, in connection with the Company Merger, Parent or the Merger Subs shall pay, or cause to be paid, by wire transfer of immediately available funds, $38,250,000 in respect of the Repaid Indebtedness to the account(s) designated by the holders of such Repaid Indebtedness in the Payoff Letters.
