Repaid Indebtedness definition

Repaid Indebtedness means: (a) the Indebtedness identified in Section 3.5(c) of the Sellers Disclosure Schedule and (b) all other Indebtedness that is designated as “Repaid Indebtedness” at least five (5) Business Days prior to the Closing Date.
Repaid Indebtedness has the meaning set forth in Section 2.2(c).
Repaid Indebtedness means: • the portion of the Parent’s 4.800% Fixed Senior Notes Series O due 2009 tendered; • the portion of the Borrower’s 6.125% Fixed Senior Notes due 2008 tendered; • the portion of the Borrower’s 7.000% Fixed Senior Notes due 2013 tendered; • the Borrower’s Floating Rate Senior Notes due 2008; • Oncor Electric Delivery’s Floating Senior Notes due 2008; and • the credit facilities listed on Schedule 1.1(f).

Examples of Repaid Indebtedness in a sentence

  • At the Company Merger Effective Time, in connection with the Company Merger, Parent or the Merger Subs shall pay, or cause to be paid, by wire transfer of immediately available funds, $38,250,000 in respect of the Repaid Indebtedness to the account(s) designated by the holders of such Repaid Indebtedness in the Payoff Letters.

More Definitions of Repaid Indebtedness

Repaid Indebtedness shall have the meaning set forth in Section 2.03(b)(ii).
Repaid Indebtedness means (i) the aggregate amount of all obligations of the Company (i) in respect of money borrowed from others, including pursuant to facility and credit agreements, (ii) evidenced by bonds, debentures, notes or similar instruments, (iii) pursuant to letters of credit and bank guarantees, (iv) all interest, principal, prepayment penalty, fees, costs, or expenses in respect of any of the foregoing, including any costs associated with the prepayment of such indebtedness and with breaking any hedging arrangement or other contract associated with such obligations and (v) all guarantees with respect to any obligation of any other Person of a type described in the foregoing clauses (i) through (v) above, as set forth on Section 8.12(iii) of the Company Disclosure Schedule.
Repaid Indebtedness means with respect to the Company and the Subsidiaries, without duplication, the indebtedness with respect to borrowed money and notes payable, including any interest accrued thereon and prepayment or similar penalties and expenses, as of the Closing Date, set forth on Section 6.2(d) of the Company Disclosure Schedule, which the Parties agree is to be repaid on the Closing Date in the manner set forth herein and in the applicable Payoff Letters.
Repaid Indebtedness means any and all Funded Indebtedness that is not Assumed Indebtedness.
Repaid Indebtedness means the Indebtedness set forth on Schedule 1.17(a).
Repaid Indebtedness has the meaning set forth in Section 1.6(b) of this Agreement.
