The Borrowers shall preserve and maintain their corporate existence, rights, franchises, patents and other intellectual property, licenses and privileges, and will not liquidate, dissolve, or merge, or consolidate with or into any other corporation, or sell, lease, transfer or otherwise dispose of all or a substantial part of its assets, except that the Borrowers shall be entitled to and shall timely and strictly reorganize in accordance with the Agreement to Reorganize and Sections 9 and 10 hereof.
This Agreement, each Note and each and every other Loan Document constitutes the valid and binding obligations of each of the Borrowers, enforceable against such Borrowers in accordance with their terms, and shall continue to constitute the valid, binding, and enforceable obligations of the surviving Borrower after the consummation of the contemplated reorganization and merger in accordance with the Agreements to Reorganize and Sections 9-10 hereof.
Notwithstanding the foregoing, there shall be no adjustment pursuant to this Section 9.4(a) with respect to grants of options to employees pursuant to employee benefit plans as in effect on the Closing Date hereof or pursuant to the Agreements to Reorganize.
Tennessee Farmers hereby acknowledges and agrees that any action taken by either Borrower which (i) is expressly called for in the Agreement(s) to Reorganize and (ii) would otherwise violate any section of this Agreement, or make any representation or warranty herein untrue or incorrect, or create an ongoing Event of Default hereunder, shall have no such effect.
