Rent Differential definition

In such event, after deducting Landlord’s share of the Rent Differential, equitably determined on a monthly basis, if applicable as hereinafter provided, Landlord agrees to remit to Tenant any excess on a month to month basis.
The Rent Differential shall not include the sales or rental proceeds received by Tenant in connection with the sale or lease of its personal property to a proposed transferee.
The Tenant shall pay such damages as in this Section 23.5B provided (herein called the "Rent Differential") to Landlord monthly on the days on which the Base Rent would have been payable under this Lease Agreement if Tenant were still in possession, and Landlord shall be entitled to recover from Tenant each monthly deficiency as the same shall arise.

The Consult-a-Nurse Base Rent and the Rent Differential shall be prorated on a per diem basis for the month of April 2010.
More Definitions of Rent Differential
Rent Differential means the excess of (i) any and all “Proceeds” payable to Tenant over (ii) Tenant’s “Allowed Costs”;
Rent Differential means, as of any Basic Rent Payment Date with respect to the applicable Rental Period, an amount equal to the difference between (i) the aggregate amount of interest actually accrued on all Outstanding Notes during such Rental Period and (ii) the aggregate amount of interest that would have accrued on such Notes if such Notes had at all times during the Rental Period borne interest at the interest rate assumed in the Pricing Assumptions then in effect. As of any Basic Rent Payment Date, (x) if the amount determined in accordance with clause (i), above, is greater than the amount determined in accordance with clause (ii) above, the amount of Basic Rent due on such date shall be increased by the Rent Differential, and (y) if the amount determined in accordance with clause (ii) exceeds the amount determined in accordance with clause (i), the amount of Basic Rent due on such date shall be decreased by the Rent Differential.
Rent Differential means the difference between Base Rent and Additional Rent payable under this Lease, and Base Rent and Additional Rent payable under the lease of the current tenant in possession of the Premises (which the parties acknowledge is an affiliate of Tenant), for the period from January 1, 2002, to the date Tenant commences paying Base Rent and Additional Rent in accordance with this Lease. As of November 20, 2002, the Rent Differential is $55,089.00 which amount is based on budgeted operating expenses and is subject to reconciliation pursuant to Section 5 of this Lease. Except when Tenant is permitted to ▇▇▇▇▇ the payment of Base Rent as expressly set forth herein, Tenant shall pay to Landlord in advance, without demand, abatement, deduction or set-off, monthly installments of Base Rent on or before the first day of each calendar month during the Term hereof, in lawful money of the United States of America, at the office of Landlord for payment of Rent set forth above, or to such other person or at such other place as Landlord may from time to time designate in writing. Payments of Base Rent for any fractional calendar month shall be prorated. The obligation of Tenant to pay Base Rent and other sums to Landlord and the obligations of Landlord under this Lease are independent obligations. Tenant shall have no right at any time to ▇▇▇▇▇, reduce, or set-off any Rent (as defined in Section 5) due hereunder except for any abatement as may be expressly provided in this Lease.
Rent Differential means, as of any Basic Rent Payment Date, the difference between (i) the aggregate amount of interest due and payable on each Basic Rent Payment Date on the Initial Series Note, and (ii) the aggregate amount of interest that would have been due and payable on such Basic Rent Payment Date on such Note if such Note had at all times during the relevant period borne interest at a rate equal to 10.0% per annum (computed on the basis of the actual number of days elapsed in a year of 365 or 366 days, as the case may be). If, as of any Basic Rent Payment Date, (A) the amount determined in accordance with clause (i) of the immediately preceding sentence shall exceed the amount determined in accordance with clause (ii) of such sentence, the amount of Basic Rent due on such Basic Rent Payment Date shall be increased by the Rent Differential, and (B) the amount determined in accordance with such clause (ii) shall exceed the amount determined in accordance with such clause (i), the amount of Basic Rent due on such Basic Rent Payment Date shall be decreased by the Rent Differential.

Requisition of Title shall mean any circumstance or event in consequence of which Unit 2 or the Undivided Interest shall be condemned or seized or title thereto shall be requisitioned or taken by any Governmental Authority under power of eminent domain or otherwise and all administrative or judicial appeals opposing such condemnation, seizure or taking shall have been exhausted or the period for such appeal shall have expired. Responsible officer shall mean, with respect to the subject matter of any covenant, agreement or obligation of any party contained in any Transaction Document, the President, or any Vice President, Assistant Vice President, Treasurer, Assistant Treasurer or other officer who in the normal performance of his operational responsibility would have knowledge of such matter and the requirements with respect thereto. Retained Assets shall mean (i) the Lessee's interest in PVNGS (other than the Undivided Interest, the related Generation Entitlement Share, and the Real Property Interest), (ii) Severable Capital Improvements title to the undivided interest in which is retained by the Lessee in accordance with Section 8(e) of the Facility Lease, and (iii) any additional interest in and to PVNGS (other than the Undivided Interest, the related Generation Entitlement Share and the Real Property Interest) to which the Lessee becomes entitled in consequence of Sections 16.2 or 23.5 of the ANPP Participation Agreement (except as otherwise provided in Section 5(a) or 19 of the Facility Lease).
Rent Differential means, as of any date of determination, an amount equal to the aggregate base rent payable under each Existing Lease that has been terminated at the time of its termination minus the base rent payable under each New Lease.
