The Remarketing Agent appointed by the Borrower shall use its best efforts to offer for sale: (i) all Term Rate Bonds required to be purchased on a Mandatory Tender Date as described in Section 3.5, and (ii) any Borrower Bonds (as hereinafter defined), provided that in no event shall the Remarketing Agent remarket any Bonds to the Issuer.
The Term Rate or the Fixed Rate, as applicable, shall be the minimum interest rate which, in the sole judgment of the Remarketing Agent, will result in a sale of all of the Series 2026 Bonds then being remarketed at the applicable remarketing price on the Rate Determination Date.
Each Term Rate so established shall remain in effect until the end of the applicable Term Rate Period selected by the Borrower in writing delivered to the Remarketing Agent prior to the applicable Rate Determination Date.
The Remarketing Agent shall make the Term Rate or the Fixed Rate, as applicable, available by telephone or by Electronic Means after 4:00 P.M. on the Rate Determination Date to each Notice Party.
The Remarketing Agent shall be authorized by law to perform all of the duties imposed upon it by this Indenture.
