Remaining Debt definition

Remaining Debt means the difference between the VCI Debt and -------------- $3,000,000.
Remaining Debt at any time, means all Financial Indebtedness of any member of the Group and the Target Group then outstanding under or in respect of the Remaining Debt Agreements (other than in respect of the Cash Pooling Facilities).
Remaining Debt has the meaning set forth in Section 5.2(c).

  • Any accrued interest not paid on a date scheduled for the payment of interest shall be added to the principal of the Remaining Debt and all of such principal, as so increased shall thereafter bear interest at the lesser of 4% in excess of the existing rate or the maximum rate permitted by applicable law.

Remaining Debt means all rights, title, interests of the creditors in and to Admitted Financial Debt less the Corporate Guarantee Debt, along with all rights, assets, title, charges, encumbrances, mortgages and guarantees (including the personal guarantees issued by Mr. Pradeep Kumar Aggarwal to the Direct Financial Creditors, to the extent of the Loan Assignment Payment), and any beneficial interest therein, securing such debt. The assignment and novation of the personal guarantees issued by Mr. Pradeep Kumar Aggarwal to the Direct Financial Creditors, to the extent of the Loan Assignment Payment is an integral part of the Resolution Plan."
Remaining Debt means “Put Option Debt”.
Remaining Debt means all indebtedness of or other financial accommodation to the Group Companies at Completion (including securitisation programmes) except for that relating to the Mezzanine Loan. Representative of a party includes an employee, agent, officer, director, adviser, partner, joint venturer or sub-contractor of that party. Respective Proportion in relation to a Seller, means that percentage of the relevant amount calculated as:
Remaining Debt means the amount which is the difference between the provable Claim of a CWK General Creditor, a CNC/CNT General Creditor or a PTI General Creditor and the amount which it has been paid under the Plan upon distribution of the Sale Proceeds and the LTG Proceeds. Remaining Debt shall not constitute an enforceable claim against the Companies.
