Remaining Assets definition

Remaining Assets means any Asset of the Estates that is not (i) Cash on Hand, (ii) an Identified Asset, nor (iii) the Equity Interests in Lucky’s Market GP 2, LLC and LFM Stores, LLC.
Remaining Assets means all properties, assets, contracts or rights of the Transferor Company or any right, title or interest therein, other than those forming part of the Divestment Business Undertaking, and shall also include identified properties as agreed to and identified in writing between the Parties;

Examples of Remaining Assets in a sentence

  • No later than ten (10) calendar days after the Independent Valuation Firm renders its decision as to the Fair Market Value of the items set forth in the preceding sentence, each Member shall deliver a written notice to the Company indicating if such Member offers to make a Capital Contribution in order to receive a distribution of all, but not less than all, of the Disputed Remaining Assets from the Company based on the Fair Market Value of such assets (as determined pursuant to the preceding sentence).

  • If there are funds remaining in the Beneficiary’s Sub-Account after the Trust’s Remainder Share has been satisfied, the Remaining Assets shall pass according to the Beneficiary Designation of Schedule B to this Joinder Agreement.

  • The Company shall distribute the Disputed Remaining Assets to the winning, highest- bidding Member and, if applicable, such Member shall make a Capital Contribution determined under Section 21.4.3.

  • If the Members agree on an allocation between the Members of any of the Remaining Assets within forty (40) calendar days after the occurrence of a Termination Event, such assets (the “Non-Disputed Remaining Assets”) shall be so distributed to the Members as so agreed.

  • The Independent Valuation Firm shall determine, in accordance with the procedures set forth in Section 23.16, the Fair Market Value of each of (a) the Non-Disputed Remaining Assets and (b) those Remaining Assets for which the Members cannot agree on an allocation between the Members (the “Disputed Remaining Assets”).


More Definitions of Remaining Assets

Remaining Assets means the Purchase Agreement Excluded Assets other than the Government Parcels, the Reorganized Debtor Assets and the Liquidating Trust Assets. For the avoidance of doubt, the Remaining Assets shall include the Option Refinery Property, unless and until such property is transferred to the Purchaser pursuant to the Option Agreement.
